Terms of Use
The agreement that governs your use of Scroll.care.
Effective date: [Month Day, 2026] · Last updated: [Month Day, 2026]
Please read these Terms carefully. Section 18 contains a binding arbitration agreement and class-action waiver that affect your legal rights.
1. About these Terms
These Terms of Use (“Terms”) are an agreement between you and Scroll.care LLC (“Scroll.care,” “we,” “us”) and govern your use of www.scroll.care, our mobile applications, Deborah (our AI Care Coordinator), and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. What Scroll.care is, and is not
Scroll.care is a care-services platform that helps people understand the types of support they may need and connect with independent Care Service Providers.
- Scroll.care is not a healthcare provider. We do not diagnose conditions, provide medical treatment, or give medical, legal, or financial advice.
- Care Service Providers are independent businesses. They are not employees, agents, or partners of Scroll.care. Scroll.care is not a party to any agreement between you and a provider and is not responsible for their services.
- Scroll.care is not an emergency service. In an emergency, call 911. In a mental health or substance use crisis, call or text 988.
3. Who can use the Services
You must be at least 18 years old and live in the United States. If you use the Services on behalf of someone else, you confirm that you have their permission or legal authority to act for them. We may refuse or end access to the Services if you violate these Terms.
4. Accounts
You are responsible for keeping your log-in details secure and for all activity on your account. Give us accurate, current information, and tell us right away at info@scroll.care if you suspect unauthorized use.
5. Care Seekers
- Free and complimentary access. Care Seekers who register by July 1, 2027 receive one year of complimentary platform access. [Confirm what happens after the complimentary year.] We will notify you at least [30] days before any paid plan begins, and we will not charge you unless you choose a paid plan and agree to its terms.
- Choosing a provider is your decision. Review services, ask questions, check licenses, and decide whether a provider is right for you. Services from Care Service Providers are paid for separately and directly to them.
6. Care Service Providers
- Verification. Providers complete the verification that applies to their service category before being published, which may include business information, professional credentials, licensing, insurance, background screening, and service-area confirmation. Verification reflects what was confirmed at the time of review. Providers are re-verified every year, including an annual background re-check. Verification is not an endorsement or guarantee of a provider’s work.
- Membership and onboarding. Provider listings, memberships, background checks, and fees are also governed by the provider onboarding documents, including the Background Check Disclosure and Authorization, the Membership Fee Authorization, and the Certification of Compliance and Security Agreement. If those documents conflict with these Terms, the onboarding documents control for providers.
- Accurate profiles. Providers must keep their profiles, licenses, insurance, and service areas accurate and current, and must tell us within [10] days if a license is suspended, revoked, or restricted.
- Sponsored placement. Some membership levels include featured or priority placement. Placement that is paid for is identified to Care Seekers as sponsored. Scroll.care does not charge or pay referral fees. Care Seekers choose which providers to contact, and providers pay flat membership fees, never fees for individual referrals or contacts.
7. Scroll.care Case Management Services
Scroll.care CMS is a separate company, affiliated with Scroll.care through common ownership, that provides private-pay Professional Healthcare Advocacy. CMS advocates answer questions at no cost. One-on-one advocacy, care coordination, and case management are available for a fee under a separate written agreement with Scroll.care CMS. You are never required to use Scroll.care CMS to use Scroll.care. CMS advocates do not provide medical or legal advice.
8. Broker Program
Brokers are independent contractors, not employees of Scroll.care. Participation in the Broker Program is governed by the Scroll.care Broker Agreement.
9. Deborah, our AI Care Coordinator
Deborah is an artificial intelligence system, not a person. Deborah can help you understand types of care and explore options, but Deborah:
- may make mistakes or give incomplete information;
- does not provide medical, legal, financial, or professional advice;
- is not for emergencies; and
- does not replace a qualified professional.
Confirm important decisions with a qualified professional. Do not enter medical records, Social Security numbers, insurance numbers, or financial account information. You can ask for human help at any time. See our AI Disclaimer.
10. Memberships, payments, and automatic renewal
- Fees. Paid memberships and add-on packages are billed monthly or annually at the price shown when you sign up. Prices are listed on the Providers page.
- Automatic renewal. Paid plans renew automatically at the end of each billing period at the then-current price until you cancel. Before you are charged, we will clearly show the price, billing frequency, and how to cancel, and ask for your consent. We will email a confirmation after sign-up.
- Cancel anytime online. You can cancel from your account settings or by contacting info@scroll.care. Cancellation takes effect at the end of the current billing period.
- Price changes. We will give you at least [30] days’ notice before a price change takes effect on your plan.
- Annual reminders. For annual plans, we will send a reminder before each renewal as required by law.
- Refunds. [Confirm refund policy. Current draft: prepaid fees are non-refundable except where required by law.]
- Background check fees are non-refundable once the check has been run. [Confirm.]
- Payment processing is handled by third-party processors under their own terms.
11. Acceptable use
You agree not to:
- post false, misleading, defamatory, harassing, or unlawful content;
- impersonate anyone or misrepresent credentials or licenses;
- use the Services to solicit or exploit vulnerable people;
- share another person’s information without permission;
- scrape, copy, or resell the Services or their content;
- interfere with security or introduce harmful code; or
- use the Services in violation of any law.
12. Reviews and user content
- Your content. You keep ownership of content you post, such as reviews, profile information, photos, and videos. You give Scroll.care a non-exclusive, worldwide, royalty-free license to host, display, and distribute it to operate and promote the Services.
- Honest reviews. Reviews must reflect genuine experiences. Providers may not write reviews of themselves or competitors, or offer anything of value for reviews.
- Moderation. We may remove content that violates these Terms or the law. We do not remove or suppress reviews because they are negative, and we display reviews the same way regardless of a provider’s membership level. Providers may post one public response to each review.
- Reporting concerns. You can report content or a concern about a provider through our Contact page.
13. Copyright complaints
If you believe content on the Services infringes your copyright, send a notice to our designated agent: [Name], Scroll.care LLC, 180 Promenade Circle, Suite 300, Room 357, Sacramento, CA 95834, [email]. Include the information required by the Digital Millennium Copyright Act. We will remove infringing content and may terminate repeat infringers. [Register the agent with the U.S. Copyright Office.]
14. Scroll.care content and trademarks
The Services and their content, including Tips & Best Practices and Resources, are owned by Scroll.care or its licensors. You may use them for your own personal, non-commercial purposes; providers may use them for their permitted business purposes under Section 6. “Scroll.care,” our logos, and “Deborah, your AI Care Coordinator” are trademarks of Scroll.care LLC and may not be used without our written permission.
15. Third-party links and services
The Services link to third-party websites and services, including provider websites, crisis lines, and social media. We are not responsible for their content or practices.
16. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SCROLL.CARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE WORK, QUALIFICATIONS, OR RESULTS OF ANY CARE SERVICE PROVIDER, OR THE ACCURACY OF DEBORAH’S RESPONSES.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SCROLL.CARE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCROLL.CARE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. SOME STATES DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
18. Disputes, arbitration, and class-action waiver
Informal resolution first. Before filing a claim, contact us at info@scroll.care and give us 30 days to try to resolve it.
Agreement to arbitrate. You and Scroll.care agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) by binding individual arbitration, except as described below. The Federal Arbitration Act governs this agreement to arbitrate.
What is not arbitrated. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek relief in court to stop infringement or misuse of intellectual property. Nothing in this section waives your right to seek public injunctive relief available under California law; any such request will be decided by a court after the arbitration of any individual claims.
Administrator and rules. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the arbitration is filed, available at adr.org or by calling 1-800-778-7879. If the AAA is unavailable, the parties will agree on another administrator, or a court will appoint one. The arbitrator will be a retired judge or an attorney with at least 10 years of experience. The arbitrator decides all issues, except that a court decides whether this section is enforceable, including the class-action waiver.
Fees. Your share of the filing fee will not exceed the fee to file a claim in the Superior Court of California, County of Sacramento, or the consumer fee set by the AAA’s Consumer Arbitration Rules, whichever is lower. Scroll.care will pay all other administrative and arbitrator fees, and will pay them on time as required by California Code of Civil Procedure sections 1281.97 and 1281.98. Each party pays its own attorneys’ fees unless the law or the arbitrator awards them.
Location and hearing. The arbitration will take place in the county where you live or in Sacramento County, California, at your choice, or by video or phone. For claims of $25,000 or less, the arbitration will be decided on written submissions unless either party requests a hearing.
Relief. The arbitrator may award the same individual damages and relief a court could award, but only to you individually and only to the extent needed for your individual claim. The arbitrator’s decision is final and may be entered in any court with jurisdiction.
Mass arbitration. If 25 or more similar claims are filed against Scroll.care by the same or coordinated counsel, the AAA’s Mass Arbitration Supplementary Rules will apply, and the claims may be administered in batches of up to 50. Filing fees for claims in later batches are paid only when that batch proceeds.
Class-action waiver. You and Scroll.care may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, or representative proceeding. If a court finds this waiver unenforceable for a particular claim or type of relief, that claim or relief will be decided by a court, not in arbitration, and the rest of this section still applies.
Your right to opt out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms. To opt out, email info@scroll.care with the subject “Arbitration Opt-Out,” or mail a letter to Scroll.care LLC, Attn: Legal, 180 Promenade Circle, Suite 300, Room 357, Sacramento, CA 95834. Include your name, the email address on your account, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms, and we will not treat you differently for opting out.
Changes to this section. If we make a material change to this arbitration section, the change will not apply to a Dispute you had already notified us of, and you may reject it by emailing us within 30 days of the change.
19. Governing law and venue
These Terms are governed by California law. Any dispute not subject to arbitration will be heard in the state or federal courts in Sacramento County, California. [Counsel: removed the one-year limit on filing claims, which may not be enforceable against consumers in California; restore only if counsel advises.]
20. Changes, termination, and general terms
We may update these Terms and will post the new version here with an updated effective date. For material changes, we will notify you in advance by email or in the Services. You may close your account at any time; we may suspend or close accounts that violate these Terms. If any part of these Terms is unenforceable, the rest remains in effect. These Terms, the Privacy Policy, and any agreements referenced here are the entire agreement between you and Scroll.care about the Services.
