Who we are

Scroll.care LLC is a care concierge service providing both human and technology support to families and individuals. Through our single-gateway technology, we provide a spectrum of care services through vetted resources in the communities, we serve.

Scope of policy

This Privacy Policy explains how Scroll.care LLC (“we,” “our,” “us”) collects, uses, and shares information collected through our technology, applications, platforms, websites, content, products, and services (the “Services”). This Privacy Policy applies generally to the information we collect about you as a: consumer; another person for whom you have the legal authority to act, such as a family member, friend, or client; care professional (“Provider”); other employee; or partner (collectively, “you,” “your”).

If your data is collected, used, or shared in connection with your status as a Provider or employee, your use and access to the Services are also subject to the terms of any offer letter you signed at hire and all employment policies, procedures, handbooks, rules, agreements, and written requirements, which will control in the event of any conflict.

This Privacy Policy does not apply to any protected health information covered by the Health Insurance Portability and Accountability Act (“HIPAA”) and its implementing regulations.

Policy updates

This Privacy Policy may change from time to time. It is in effect as of the effective date above. If we change this policy, we will post the revised version here and update the effective date to show the date from which the new policy applies. We may also contact you directly where we deem it appropriate under applicable law. If you object to any changes, you must cease using the Services immediately. Consent

By using our Services or providing information about yourself, you acknowledge and consent to the terms of this Privacy Policy. You agree not to provide us with information about any other person unless you have that persons consent or other legal authority.

If you provide us with a telephone number, you agree that Scroll.care LLC may contact you at that number, including by call or text message, for transactional and service purposes relating to your account and the Services. Where we wish to contact you for marketing purposes using an automatic telephone dialing system or prerecorded message, we will obtain your separate, express consent first, and your consent to such marketing contact is not a condition of using the Services or of any purchase. You may opt out of marketing calls or texts at any time using the opt-out methods described below.

description, address, telephone number, medical information, or health insurance information.

  • Personal characteristics of protected classes. Age, gender, and other information you

choose to provide, such as marital status, medical condition, or physical or mental disability.

  • Commercial information. Records of products or services purchased, obtained, or

considered; insurance payor sources and benefits; private payment sources and budgets; or government payment sources and benefits (Medicaid, Veterans & benefits, etc.).

  • Financial information. Banking information, account numbers, routing numbers, revenue,

payments, invoices, and expenses.

  • Profile. A profile reflecting preferences, characteristics, behavior, abilities, engagement, skill,

referral sources, schedule preferences, training completed, relationships, habits, opinions, feedback, living environment, service records, and inferences drawn from this data.

  • Professional or employment-related information. Current and past employer, positions held,

wage information, transportation availability, qualifications, references, resume/CV materials, dates of service, job titles, work history, licensure and certification, professional memberships, termination records, correspondence, public-service membership, and performance, compensation, disciplinary, and grievance information.

  • Sensitive personal information. Information revealing a Social Security, drivers license, state

ID, or passport number; racial or ethnic origin, religious or philosophical beliefs, or union membership; health information; or the contents of mail, email, and text messages.

  • Network activity. Information you provide in our website contact forms, applications, or chat

functionality.

  • Biometric information. Genetic, physiological, behavioral, and biological characteristics or

activity patterns used to identify an individual.

  • Sensory data. Audio or similar information, such as recorded phone calls for quality

assurance.

  • Health and physical characteristics. Medical conditions, diagnoses, care needs, and similar

information you provide, including, in the case of injury or illness, doctor’s notes and assessments or work-status reports.

Automated data

As with most websites and applications, we gather certain information about your usage, patterns,

and location using technologies such as cookies, pixels, tags, scripts, software development kits, application programming interfaces, and web beacons. These technologies may be used, for example, to simplify your experience on return visits, deliver relevant content, monitor and optimize our Services, and analyze traffic. Information automatically collected may include online identifiers and IP address, site-interaction and session data, device and operating-system information, and geolocation data such as the country or state from which you access the Services.

Partner data and other sources

We may receive information from advertising, search, and analytics partners, and from service providers or public sources. The categories are the same as those listed above. Background and identity-verification information is collected on our behalf by our third-party background check provider, to which providers and employees consent during the application process.

How we use data

We use the personal information we collect for business purposes including: verifying and enhancing the quality of our products and Services; administering our business (including customary HR functions such as payroll and performance management); anonymizing data for further use; enhancing security and preventing fraud; verifying and onboarding care professionals; performing our contractual obligations; ensuring compliance with legal obligations; facilitating online and platform interactions; consumer engagement and customer service; identifying and testing business innovations; market research; providing educational resources and learning management; and advertising and marketing of employment, products, and Services. Where we use data for marketing, you may have the right to opt out.

We will tell you about any materially new use at the time we collect the information or before we begin that use. We retain personal information for as long as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Aggregated, de-identified, or anonymized data may be retained longer as permitted by law.

How we share data

We may share information for the purposes described above with:

agencies that have partnered with Scroll.care LLC to jointly provide services to clients.

  • 11. Service providers. We may share personal information with service providers that help us

operate our business, such as auditors, advisors, technology and software providers, data- security providers, and website-functionality providers. We require such providers to safeguard data and limit their use of it to our purposes.

  • 12. Third-party vendors. We may share personal information with vendors that help us

understand trends and patterns, such as marketing, advertising, or analytics providers.

Where these vendors are not service providers or use non-essential cookies, you may have the right to opt out of such sharing.

  • 13. Legal purposes and authorities. We may disclose personal information where necessary to

comply with the law, enforce our Terms, protect our rights or property or those of others, or respond to lawful requests such as a subpoena.

  • 14. Business transfers. We may disclose personal information as part of a merger, acquisition,

financing, sale of assets, or similar transaction, or in an insolvency or bankruptcy, provided

  • 16. At your request. We may disclose your personal information to third parties with your consent

Our site may link to websites operated by third parties. Information you provide to those organizations is subject to their own policies. We are not responsible for the policies or practices of third parties. By clicking a link to a third-party site, you leave our site, and this Privacy Policy no longer applies. We may also maintain profiles on third-party social media services; information those services collect is governed by their own privacy policies.

Your privacy choices

However, because of the open nature of the internet, we cannot guarantee that communications will be free from unauthorized access by third parties. International users

Nevada resident privacy rights

Nevada law (SB 220) allows Nevada consumers to opt out of the sale of certain covered information.

5. Terms of use agreement

Scroll.care LLC and its associated tools help consumers (collectively, “Users”) research and coordinate healthcare and navigate the healthcare and social-benefits systems in the United States.

Our curated care-related professionals (collectively, “Providers”) are vetted annually for required licensure compliance in their chosen specialty. These Terms of Use outline the obligations of Users and Providers when using Scroll.care websites, mobile applications, and services.

1. Acceptance of terms

The Scroll.care website is available at www.scroll.care, along with related mobile applications and the content, features, and services offered through them, all of which are owned and operated by Scroll.care LLC and may be accessed and used only under these Terms of Use.

2. Modifications of terms

Scroll.care LLC may, in its sole discretion, modify these Terms of Use at any time, effective upon posting the modification date. You are responsible for regularly reviewing the Terms. Your continued use of the Sites and Services after such posting signifies that you accept the modified Terms.

3. Use of the sites and services

Subject to your full compliance with these Terms, Scroll.care LLC grants Users and Providers a nonexclusive, non-transferable, non-sublicensable, revocable license to access and use the Sites and Services as intended. Except as expressly permitted, you agree not to reproduce, duplicate, copy, sell, resell, modify, distribute, transmit, or otherwise exploit the Sites and Services or their content without the express written consent of Scroll.care LLC. We reserve the right to refuse service, terminate accounts, and remove or edit content at our sole discretion.

3.1 Provider use

Providers access and use the Sites and Services for business purposes, including creating and maintaining a Provider profile, appearing in search results, and communicating with families and Users seeking care. Notwithstanding any provision limiting use to “personal, non-commercial” purposes, Providers are permitted to use the Services for these commercial purposes in accordance with these Terms, their selected membership plan, and any applicable Provider policies. Provider listings, memberships, background checks, and fees are governed by the provider onboarding documents, including the Background Check Disclosure and Authorization, the Membership Fee Authorization, and the Certification of Compliance and Security Agreement.

4. User and provider conduct

(a) Eligibility

When you create an account, you represent and warrant that:

  • You are at least 18 years of age;
  • You are authorized to create or participate in a Providers List for the Care Recipient;
  • You reside in the United States; and
  • The Care Recipient currently resides in the United States.

We may, in our sole discretion, refuse to offer the Service or grant or amend access at any time and for any reason.

(b) Accounts

To use the Service, you must create a password-protected account. Creating an account requires you to provide your email address, name, and password. You may not use an email address that infringes anothers rights or that is offensive, vulgar, or obscene. You are the sole authorized user of your account and are responsible for keeping it secure and for all activity under it. You must notify us immediately of any breach or unauthorized use. Scroll.care LLC is not liable for losses arising from unauthorized use of your account. You represent that the information you provide is accurate, complete, and current; inaccurate or obsolete information may result in termination. Subject to the Privacy Policy, you grant Scroll.care LLC a non-exclusive, worldwide, royalty-free, sublicensable right to use your information to perform and improve the Service.

(c) Restrictions

You represent and warrant that your actions and the information you provide will not infringe third- party rights; will not violate any law; will not be defamatory, harassing, obscene, or harmful to minors; will not contain viruses or other harmful code; and will not create liability for us. You also agree not to engage in copyright or trademark infringement, hacking, privacy or confidentiality violations, interference with the Service, harassment or stalking, impersonation, or encouraging others to do any of these. This is not an exhaustive list, and we reserve the right to take action against any behavior we believe violates these Terms.

(d) Invitations

If you invite another person to use the Service, Scroll.care LLC will send invitations on your behalf to

that persons email address. By providing that persons email address, name, and an optional message, you represent that you are authorized to share that information and authorize us to send the invitation and any reminders. Scroll.care LLC is not responsible for any accidental or unauthorized access.

(e) Content

From time to time we may make available content (articles, texts, guides, documents, data, images, interactive features, software, graphics, forms, and videos) to help you make care decisions (“Scroll.care Content”). Scroll.care Content is protected by copyright, trademark, and other laws, and Scroll.care LLC exclusively owns all rights, title, and interest in it.

(f) Scroll.care service and providers

The Scroll.care service includes technology that allows individuals to manage the care of family members, themselves, or others. You agree not to hold Scroll.care LLC liable for losses arising from your use of the Service. If you choose to work with a Provider through the Service, you understand that Scroll.care LLC is not a party to any contract between you and that Provider.

(g) Availability of the service

We reserve the right to change the offerings and functionality of our Services without prior notice, and to limit, restrict, or remove features. We may limit, suspend, or terminate accounts that violate these Terms, and we reserve the right to deny access to anyone for any reason.

5. Intellectual property rights

The Service and its associated technology (the “platform”) and all of its contents, features, and functionality are owned by Scroll.care LLC, its licensors, or other providers, and are protected by United States and international copyright, trademark, patent, trade-secret, and other laws. These Terms permit you to use the platform for your permitted purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any material on the platform except as expressly permitted (for example, accessing and printing your own customized Care Plan). No right, title, or interest in the platform is transferred to you, and all rights not expressly granted are reserved by Scroll.care LLC.

6. Trademarks

The Scroll.care LLC name and all related names, logos, product and service names, designs, and

slogans are trademarks of Scroll.care LLC or its licensors. You must not use these marks without prior written permission. All other names, logos, and marks on the platform are the property of their respective owners.

7. Medical, legal, or professional advice

The information presented through the Services is for informational purposes only and does not constitute or replace professional medical, legal, or other advice, diagnosis, treatment, or recommendation. Always seek the advice of a qualified healthcare professional regarding medical needs, and consult your own attorney regarding legal matters. Use of the platform does not create an attorney-client relationship. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is at your own risk. Content provided by third parties reflects the views of those parties, not Scroll.care LLC.

8. In case of emergencies

IF YOU BELIEVE YOU OR YOUR LOVED ONE HAS AN EMERGENCY OR OTHER LIFE- THREATENING SITUATION, CALL 9-1-1 IMMEDIATELY. The Services are not for medical emergencies or other urgent situations, and you should not disregard or delay seeking medical advice based on anything on the platform.

9. Payments

Use of certain Services requires payment of fees, as described in the provider onboarding documents (including the Background Check Disclosure and Authorization and the Membership Fee Authorization). You agree to pay all applicable fees under the billing terms then in effect. If you cancel your account, you will not receive a refund of prepaid fees and will remain responsible for any fees outstanding through the effective cancellation date. Scroll.care LLC uses third-party payment processors, and by agreeing to these Terms you agree to those processors; terms of service.

10. Privacy

We obtain information from and about you in order to deliver the Services, and we use that information in accordance with our Privacy Policy, which describes our practices and your choices.

By using our Services, you consent to our actions with respect to your information unless directed otherwise in writing.

11. Third parties and providers

The Services may recommend, coordinate with, or link to third-party websites or services not owned or controlled by Scroll.care LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of these third parties, and you access them at your own risk.

12. Geographic restrictions

Scroll.care LLC is located in California. We provide the Services in compliance with United States law and make no claim that the Services are appropriate or available outside the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

SCROLL.CARE LLC, ITS AFFILIATES, AND THEIR LICENSORS DO NOT WARRANT THAT (A)

IN NO EVENT WILL SCROLL.CARE LLC, ITS AFFILIATES, OR THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT WILL SCROLL.CARE LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID TO SCROLL.CARE LLC FOR YOUR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Scroll.care LLC, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys (fees) arising out of or relating to your violation of these Terms or your use of the Services.

16. Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the limitations above may not apply to you to the extent prohibited by law.

17. Governing law and venue

ATTORNEY REVIEW: Added. The original Terms had no governing-law, venue, or dispute- resolution provisions. Counsel should confirm California governing law and Sacramento County venue, and finalize the arbitration and class-waiver language in Section 18 (including any consumer- arbitration cost-shifting and opt-out requirements).

These Terms of Use and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to Section 18, the exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Sacramento County, California, and you consent to the jurisdiction of those courts.

18. Dispute resolution; arbitration and class-action waiver

Except for claims that may be brought in small-claims court and except for claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration rather than in court. You and Scroll.care LLC waive any right to a jury trial and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The specific arbitration administrator, rules, fee allocation, and opt-out procedure will be set out here and must be finalized by counsel.

20. Entire agreement and severability

This Agreement constitutes the entire agreement between you and Scroll.care LLC with respect to its subject matter and supersedes all prior agreements and discussions. You may also be subject to additional posted policies, including the Privacy Policy. If any provision of this Agreement is held illegal or unenforceable, that provision shall be severed and the remainder shall remain in effect.
